Terms and Conditions

The terms, conditions, and notices contained herein (the “Terms”) govern your access to and use of this or any other Safe Space Counseling Services, LLC website, mobile application or social media platform (or any content, product, service, or feature available through the website, mobile application or social media platform)

These Terms are entered into by and between you and, Safe Space Counseling Services, LLC (“Safe Space Counseling Services”, “we”, “our,” “us”). Children Under Thirteen

Safe Space Counseling Services, LLC does not knowingly collect, either online or offline, personal information from persons under the age of thirteen pursuant to the Children’s Online Privacy Protection Act of 1998. If you are under 18, you may use www.safespacecounselingservices.com only with the permission of a parent or guardian.

By using any product, service, or functionality originating from the Site domain, you hereby acknowledge and consent that safe Space Counseling Services, LLC may share such information and data with any third party with whom DPC has a contractual relationship to provide the requested product, service, or functionality on behalf of Site users and customers.

No Unlawful or Prohibited Use/Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use the Site strictly in accordance with these Terms. As a condition of your use of the Site, you warrant to Safe Space Counseling Services, LLC that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. Safe Space Counseling Services, LLC content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular, you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of Safe Space Counseling Services, LLC and the copyright owner. International Users

The Service is controlled, operated, and administered by Safe Space Counseling Services, LLC from our offices within the United States. If you access the Service from a location outside the United States, you are responsible for compliance with all local laws. You agree that you will not use the Safe Space Counseling Services, LLC Content accessed through www.districtpsych.com in any country or in any manner prohibited by any applicable laws, restrictions, or regulations.

Indemnification

You agree to indemnify, defend and hold harmless Safe Space Counseling Services, LLC its officers, directors, employees, agents, and third parties, against any damages, losses, liabilities, judgments, costs or expenses (including reasonable attorney's fees and costs) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your breach or violation of these Terms or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Safe Space Counseling Services, LLC reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Safe Space Counseling Services, LLC in asserting any available defenses.

Arbitration

At DPC’s sole discretion, it may require you to submit any disputes arising from the use of the Site or from these Terms, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Maryland law.

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. DISTRICT PSYCHOLOGY CENTER AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

THE CONTENTS OF THIS SITE ARE PROVIDED “AS IS.” NEITHER DPC NOR ANY OF ITS AFFILIATES, PARTNERS, OR EMPLOYEES, MAKES ANY REPRESENTATIONS, EXPRESS OR IMPLIED, WITH RESPECT TO THE TIMELINESS, ACCURACY, OR COMPLETENESS OF ANY OF THE INFORMATION, SERVICES, GRAPHICS, OR OTHER CONTENTS OF THIS SITE, AND EXPRESSLY DISCLAIM ANY LIABILITY OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Termination/Access Restriction

DPC reserves the right, in its sole discretion, to terminate your access to this Site, or any portion thereof, or discontinue providing this Site, or any portion thereof, without notice. Safe Space Counseling Services, LLC will not be liable to you or any third party for any such termination or discontinuance.

Governing Law and Jurisdiction

You agree that this agreement is entered into between you and Safe Space Counseling Services, LLC in the State of Maryland and is performed within the State of Maryland. You agree that this agreement is governed by and will be construed in all respects under the laws of the State of Maryland, exclusive of its choice of law or conflict of laws provisions. In any claim or action by you directly or indirectly arising under these terms and conditions or related to the Site, you irrevocably agree to submit to the exclusive personal jurisdiction of the state or federal courts located in the County of Baltimore. You waive any jurisdictional, venue, or inconvenient forum objections to such court.

Miscellaneous Provisions

Safe Space Counseling Services, LLC's performance of this agreement is subject to existing laws and legal processes, and nothing contained in this agreement is in derogation of Safe Space Counseling Services, LLC's right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Safe Space Counseling Services, LLC with respect to such use.

If any part of this agreement is determined to be invalid or unenforceable by a court or other tribunal of competent jurisdiction pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be limited or eliminated to the minimum extent necessary so that this agreement will otherwise remain in full force and effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Safe Space Counseling Services, LLC with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the user and Safe Space Counseling Services, LLC with respect to the Site.

The section titles in these Terms are for your convenience only and do not have any legal or contractual effect.

Changes to Terms

We may change the Terms from time to time to make any modifications or updates. The most current version of the Terms will supersede all previous versions. Safe Space Counseling Services, LLC encourages you to periodically review the Terms to stay informed of our updates.
